Regarding License Agreement between:
Licensor: Monroe Community Sports Centre Corp (2700 Brighton Henrietta Townline Road, Rochester, NY 14623) DBA Tim Hortons Iceplex
Licensee: Individual or Group Executing This Agreement
For Use of: Tim Hortons Iceplex
The Licensee hereby acknowledges and agrees to the terms and conditions of the Ice Arena License and Indemnification Agreement between the Licensor and the Licensee, concerning the use of Tim Horton’s Iceplex for ice hockey activities during the term specified in the Booking Report provided by the Licensor to the Licensee concurrent with the agreement to this waiver.
The Licensee specifically acknowledges and agrees to the following key terms (refer to the full agreement for complete details):
License: The Licensee is granted a non-exclusive license to use the ice surface, locker rooms, spectator stands, public areas, and parking areas of the Arena during the times specified in the Booking Report for ice hockey activities.
Covered Persons: This license extends only to the Licensee's members, prospective members, and invitees.
License Fee: The Licensee shall pay the Licensor the "Seasonal Published Ice Rate" as detailed in the Booking Report, according to the payment schedule therein. The full fee is due regardless of actual ice usage and is payable before the first scheduled activity.
Licensee's Duties: The Licensee is responsible for inspecting the Arena before each use, reporting any issues, managing crowd control during licensed times, and obtaining written releases, hold harmless agreements, and waivers of claim from all participant, which can be done digitally through an online waiver - click here to view.
Assumption of Risk: The Licensee acknowledges and assumes all inherent risks associated with activities at the Arena, as detailed in the agreement.
Release: The Licensee waives, releases, and discharges the Licensor from all claims, losses, damages, costs, and expenses arising from the use of the Arena under this Agreement.
INDEMNIFICATION: The Licensee shall indemnify, defend, and hold harmless the Licensor and its affiliates from any and all losses, damages, liabilities, claims, costs, and expenses (including attorney's fees) resulting from the intentional or negligent acts or omissions of the Licensee or its members, prospective members, or invitees in connection with this Agreement. This provision survives termination of the Agreement.
Promotional Activity: The Licensee shall not conduct any promotional activity related to events at the Arena without the Licensor's prior written consent.
Arbitration: Any unresolved disputes shall be submitted to binding arbitration as outlined in the agreement.
Rules & Regulations: The Licensee agrees to comply with the Licensor's Arena rules and regulations as outlined on its website (click here to view), which may be amended from time to time.
Assignment: The Licensee may not assign this Agreement without the Licensor's prior written consent.
Notice: Notices shall be provided as specified in the agreement.
Waiver: No waiver of rights by the Licensor is effective unless in writing and signed by the Licensor.
Binding Effect: This Agreement is binding upon the Licensee and its affiliates as specified in the agreement.
Governing Law: This Agreement is governed by the laws of the state of New York.
Entire Agreement: This document, along with the referenced exhibits of the full agreement and the concurrent Booking Report, constitutes the entire understanding between the parties regarding this license.
By signing below, the Licensee acknowledges that they have received, read, understood, and agree to be bound by the terms and conditions of this agreement.
